11. Contracting Parties and Scope of Service

This agreement governs the commercial relationship between DAVIDE SYSTEMS S.R.L. (Tax ID / VAT: RO27659675, Reg. No.: J05/1398/2010, registered office: Str. Privighetorii nr. 29, Oradea, Bihor, postal code 410513, Romania, hereinafter referred to as the 'Provider' or 'souq24'), operator of the certified Google Comparison Shopping Service (CSS Partner), and the registered business or merchant (hereinafter referred to as the 'Merchant' or 'Client').

The scope of the service comprises:

• Association of Merchant's Google Merchant Center account with Provider's Google CSS Network (CSS Association / MCA Sub-Account) to grant up to 20% discount on CPC bids in Google Shopping Ads (Performance Max and Standard Shopping campaigns).
• Display, indexing, and promotion of Merchant's products on the European comparison shopping catalog hosted on souq24.eu, in full compliance with European Commission antitrust requirements and Google CSS regulatory standards.
• Automated product synchronization via Google Content API v2.1 or XML/CSV data feeds.

22. Free Trial Period

33. Pricing, Subscription Plans, and Automated Invoicing

Following the conclusion of the free trial period, the Merchant may choose between the following flexible subscription models:

Invoice Issuance: All transactions are processed securely, and compliant commercial invoices are generated automatically with the Merchant's business information (VAT/Tax ID, Company Name, Address) pursuant to EU cross-border B2B invoicing rules (Reverse Charge 0% VAT applies for EU B2B companies with a valid VIES VAT number; 19% Romanian VAT applies for Romanian legal entities).

44. Past Due Policy, Grace Period, and CSS Association Revocation

If an automated recurring payment cannot be processed upon renewal (insufficient funds, expired card, etc.):

• Day 0 (Due Date): Account transitions to PAST_DUE status. An automated email and dashboard alert is dispatched, granting a 7-day calendar grace period to update billing details.
• Day 3: Automated product feed synchronization is temporarily paused.
• Day 7 (Grace Expiration): If payment remains outstanding, account status transitions to REVOKED. Provider executes account dissociation via Google CSS API. Merchant reverts automatically to standard Google Shopping and loses the 20% CPC auction advantage in Google Ads.
• For sub-accounts configured within Provider's MCA hierarchy, administrative access is suspended until regularized.

55. Merchant Obligations & Compliance with Google Policies

• Merchant warrants that all advertised items strictly conform with European law and Google Shopping Advertising Policies (counterfeit goods, illicit weapons, drugs, or prohibited merchandise are strictly forbidden).
• Merchant bears sole responsibility for the accuracy of displayed retail prices, inventory availability, delivery timelines, and return policies on their retail domain.
• souq24 acts strictly as an independent CSS technology provider and comparison search engine; Provider is not party to retail sales transactions between Merchant and end-consumers.

66. Display Rights & Intellectual Property

By participating, Merchant grants Provider a non-exclusive license to ingest, index, and display product titles, images, descriptions, and pricing on souq24.eu for the sole purpose of fulfilling European Commission and Google CSS comparison shopping requirements.

77. Cancellation & Termination

Merchant may request cancellation or CSS account dissociation at any time directly through the merchant support center with zero cancellation fees. Services remain operational until the end of the paid or trial period.

88. Governing Law and Jurisdiction

This agreement is governed by the laws of Romania and the regulations of the European Union. Any disputes arising hereunder shall be resolved amicably or by the competent courts located at Provider's domicile.
